Terms of Service & Risk Disclosure

1. Acceptance of these Terms

These Terms of Service, together with the Risk Disclosure and Privacy Policy (collectively, the "Terms"), govern your access to and use of the SGL Staking interface at staking.x402layer.cc and any related pages, contracts, and tooling (the "Interface").

By connecting a wallet, staking, or otherwise using the Interface, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, do not use the Interface.

2. Nature of the Interface — non-custodial software

The Interface is a purely non-custodial, front-end means of interacting with autonomous smart contracts deployed on the Solana blockchain. Singularity Layer and EventHorizon Labs (collectively, the "Providers") do not take custody of, hold, control, or have access to your tokens, private keys, or wallets at any time.

All staking, unstaking, claiming, and related transactions are executed by you, directly against on-chain programs, and are irreversible once submitted. The Providers cannot reverse, cancel, refund, recover, or modify any transaction.

The Interface is provided as a convenience only. The underlying smart contracts will continue to operate independently of the Interface.

3. Eligibility & restricted persons

You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction), have full legal capacity to accept these Terms, and are not acting on behalf of any sanctioned person or entity.

You may not use the Interface if you are located in, ordinarily resident in, or a citizen of any jurisdiction where use of the Interface, staking, or holding $SGL would be illegal or require licensing or registration that the Providers do not hold. This includes, without limitation, any jurisdiction subject to comprehensive sanctions.

It is solely your responsibility to determine whether your use of the Interface is lawful in your jurisdiction. The Providers make no representation that the Interface is appropriate or available for use in any particular location.

4. No registration, license, or regulated status

The Providers are not registered, licensed, or authorized as a broker-dealer, investment adviser, exchange, money services business, bank, or any other regulated financial institution in any jurisdiction, and do not purport to be.

$SGL is a utility token used within the Singularity Layer network. Nothing in the Interface constitutes an offer or solicitation to buy or sell any security, financial instrument, or investment product. Staking is a network-security and utility mechanism, not a deposit, savings product, or investment contract.

5. No financial, investment, legal, or tax advice

Nothing on the Interface is, or should be construed as, financial, investment, legal, accounting, or tax advice. The Providers are not your broker, intermediary, agent, advisor, or fiduciary, and owe you no duty in connection with your use of the Interface.

Any APR, APY, reward estimate, projection, or figure shown is illustrative only, not guaranteed, and may be inaccurate or out of date. Actual rewards depend on network activity, token prices, the number of stakers, and factors outside the Providers' control. You should consult your own professional advisors before making any decision.

6. Risk Disclosure — read carefully

Staking $SGL involves significant risk, including the risk of total loss. By using the Interface you acknowledge and accept all of the following risks, among others:

• Smart-contract risk: the staking programs may contain bugs, vulnerabilities, or economic flaws that could result in partial or total loss of staked tokens, despite review.

• Slashing: stake associated with compute or validator roles can be slashed (partially or fully confiscated) for misbehaviour or downtime, per the program rules. Yield-only positions are not slashable, but no position is risk-free.

• Lock-up & cooldown: unstaking is subject to a cooldown during which your tokens remain locked and exposed to price movement and slashing (where applicable). You may be unable to access your tokens when you wish.

• Token volatility: $SGL and reward tokens may lose value rapidly and without warning, including to zero. Reward value is not guaranteed in any fiat amount.

• Reward dependency: staker rewards are funded by network compute revenue. If little or no compute activity occurs, rewards may be negligible or zero.

• Technical & operational risk: blockchain congestion, RPC failures, wallet errors, key loss, phishing, and front-end compromise can cause loss. You are solely responsible for the security of your wallet and keys.

• Regulatory risk: laws affecting tokens and staking may change, possibly retroactively, and may adversely affect the Interface, $SGL, or your ability to use them.

7. Your responsibilities

You are solely responsible for: (a) the security and custody of your wallet, private keys, and seed phrases; (b) all transactions you submit and all decisions you make; (c) verifying contract addresses and transaction details before signing; (d) determining, reporting, and paying any taxes arising from your activity; and (e) compliance with all laws applicable to you.

The Providers will never ask for your private key or seed phrase. Anyone who does is attempting to defraud you.

8. No warranties — "as is"

THE INTERFACE AND ALL RELATED SOFTWARE AND CONTRACTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

The Providers expressly disclaim all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Interface will be uninterrupted, secure, error-free, or free of harmful components. The Interface is experimental software.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SINGULARITY LAYER, EVENTHORIZON LABS, OR ANY OF THEIR FOUNDERS, DIRECTORS, EMPLOYEES, CONTRIBUTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, TOKENS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE INTERFACE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the Providers' total aggregate liability for all claims relating to the Interface will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations; in such cases the limitations apply to the greatest extent permitted.

10. Assumption of risk & release

You assume all risks associated with using the Interface, staking, and holding $SGL. You irrevocably release, waive, and discharge the Providers from any and all claims, demands, and damages arising out of or related to your use of the Interface, to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless the Providers and their affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Interface, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Changes, availability & termination

The Providers may modify, suspend, or discontinue the Interface (in whole or in part) at any time, without notice or liability. The Providers may amend these Terms at any time; the updated Terms take effect when posted. Your continued use constitutes acceptance.

The on-chain contracts may be upgraded by their authority in accordance with their program rules; the current owner of the staking program is a hardware-wallet-controlled authority.

13. Governing terms & severability

These Terms constitute the entire agreement between you and the Providers regarding the Interface and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver.
